Welcome to SmartCommerce (“SmartCommerce”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of the SmartCommerce platform, website, applications, integrations, and related services, including our Facebook application (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. About SmartCommerce

SmartCommerce is an e-commerce and commerce management platform that helps businesses manage products, orders, customers, marketing activities, and integrations with third-party platforms, including Facebook and Meta services.

Your use of Facebook and other third-party services remains subject to their respective terms, policies, and agreements.

We are not responsible for the availability, content, or functionality of third-party platforms.

5. Permitted Use

You agree to use the Services only for lawful business purposes and in compliance with all applicable laws and regulations.

You must not:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTCOMMERCE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will meet your requirements or operate without interruption or error.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTCOMMERCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SMARTCOMMERCE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless SmartCommerce, its affiliates, directors, employees, and partners from any claims, damages, liabilities, losses, and expenses arising from:

  • Your use of the Services.

  • Your violation of these Terms.

  • Your violation of any applicable law or third-party rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SmartCommerce operates, without regard to conflict-of-law principles.

16. Changes to These Terms

We may update these Terms from time to time.

When changes are made, we will update the “Last Updated” date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
